1. Description of Adopy
Adopy is a proprietary omnichannel advertising platform that creates, manages and optimizes online advertising campaigns across multiple third-party advertising networks, including but not limited to Google, Microsoft, Meta, Facebook, Instagram, LinkedIn, TikTok, and Spotify. Adopy is offered both as a SaaS service for direct customers and as a white-label solution for business partners. Our services are available through our website at https://adopy.ai/ and the application at https://app.adopy.ai/.
2. License and Access
Grant of License: We grant you a non-transferable, non-exclusive license to access and use Adopy solely for lawful purposes and in accordance with these Terms. User Responsibility: You are solely responsible for your use of Adopy, including use by your employees, agents, or other authorized individuals. You must implement reasonable security measures to prevent unauthorized access or use of Adopy. Prohibited Activities: You shall not allow any third party to use Adopy, modify its code, or gain unauthorized access to the platform.
3. Customer Responsibilities
Accurate Information: You must provide and maintain true, accurate, and up-to-date account information. Content Responsibility: You are solely responsible for all text, logos, images, and other materials ("Customer Content") uploaded to Adopy, including compliance with third-party advertising network policies. If you do not comply with third-party advertising networks' Terms and/or Adopy's Terms, any of the following actions may be taken: (1) your ad might be rejected by the third-party advertising network or by Adopy; (2) we might suspend or terminate your Adopy account. Compliance with Laws: You agree not to use Adopy for any illegal, obscene, or immoral purposes and ensure all uploaded materials are virus-free. Corporate Authority: If acting on behalf of a company: you warrant that you are authorized to bind the company to these Terms; you represent and warrant that your company or corporate entity is properly incorporated or properly able to perform acts in law.
4. Customer Data and Privacy
Data Accuracy: The Customer will be solely responsible for the user's name, email and password of the account. The Customer is responsible for the accuracy and veracity of the personal data provided in the sign-up and for future modifications, and must inform us of such changes and update them. We do not own any keyword data, information, performance data, paid search campaigns or material that you submit to us in the course of us providing the Service to you (collectively called "Customer Data"). You hereby grant us a worldwide, royalty-free, non-exclusive right during the Term (Section 11) to use, reproduce, create derivative works of, distribute, perform, transmit and publish your Customer Data for the sole purposes of (i) processing your Customer Data in connection with providing the Services to you; and (ii) storing or hosting the Customer Data in a remote database or on the adopy.ai website for access by you. Ownership of Data: You retain ownership of your advertising data ("Customer Data"). Adopy processes Customer Data solely to provide the Services. GDPR Compliance: We act as a data controller under GDPR. You have the right to access, amend, or delete your personal data. For details, see our Privacy Policy. Aggregated Metrics: Adopy may compile aggregated data metrics for analytics purposes, ensuring no uniquely identifiable information is disclosed. For the avoidance of doubt you acknowledge and agree that all data related to your use of the Services, not including Customer Data, shall be owned by Adopy.
5. Adopy Services
Modifications: We reserve the right to modify the Services at any time without prior notice. Service Scope: Adopy is provided "as is" and "as available." We are not responsible for the success or failure of advertising campaigns. We have no obligation to review your use of Adopy. We do not control, nor are we to be held responsible for, your use of Adopy or any other content that you send or receive through Adopy. White-Label Offering: Adopy is also offered to business partners under a white-label arrangement. Such arrangements are governed by a separate partner agreement that supplements these Terms.
6. Intellectual Property
Ownership: All software, algorithms, and data processed by Adopy are our exclusive property. Restrictions: You may not rent, lease, sublicense, distribute, transfer, copy, modify, or reverse-engineer Adopy.
7. Privacy & Confidentiality
You agree to the terms of Adopy's privacy policy at https://adopy.ai/privacy, which may be viewed on the Adopy website (the "Site"), and which may be modified by Adopy in its reasonable discretion from time to time. Confidential Information: You agree to protect any confidential information disclosed during your use of Adopy. Injunctive Relief: We may seek legal remedies for breaches of confidentiality.
8. Payment and Fees
Subscription prices are based on your chosen plan, and reflect the offering shown on our website at the time you entered into this agreement. You must provide Adopy with a valid credit card or bank automatic clearing house validation as a condition of signing up for the Services. You represent that you are authorized to provide any credit card or bank account information you use to sign up for the Services. Payments are processed through our third-party payment processors (Stripe and PayPal). You shall pay all fees to your account in accordance with the fees and billing terms in the applicable Order. The first billing period begins on the date of registration as an Adopy customer and ends the day before the date of the following month that corresponds to the date of registration. Subsequent billing periods shall begin on the date of each month that corresponds to the date of registration and end the day before that date in the following month. Late Payment: We reserve the right to suspend Services for late payments. Advertising Fees: If using Adopy's Advertising Buying Feature (Section 10), a 20% service fee applies. This fee may increase to 40% if we detect policy violations to cover our additional costs and risks.
9. Adopy Credit Vouchers
Eligibility: Free credit vouchers are subject to specific terms available in your account. Misuse may result in account suspension. You will not be notified once the Adopy free voucher has been used up. Limitations: Unused free credit vouchers are not refundable.
10. Advertising Buying Feature
Service Scope: Advertising Buying Through Adopy allows you to quickly and easily create third-party ad accounts and purchase advertisements on supported networks (including Google, Microsoft, Meta, LinkedIn, TikTok and Spotify) directly from within your Adopy account (collectively, the "Advertising Buying Feature"). The Advertising Buying Feature is an add-on to your Adopy account and will be billed as such. When creating an advertising campaign through the Advertising Buying Feature, you will be required to select a daily advertising budget for your campaign. You agree to pay for five (5) days of the selected daily budget upfront, and your credit card will be charged for this amount in its entirety. Ads will then be placed by the corresponding advertising networks on your behalf according to the criteria you select using the Advertising Buying Feature until your budget is fully utilized. If your campaigns are still enabled and the balance of your Advertising Credits reaches zero (0), Adopy will automatically charge your credit card for an additional five (5) days of daily budget to avoid campaign disruption. You will receive an in-app notification and email when this charge is processed. In certain circumstances, your entire budget may not be exhausted. Any unused portion of your budget will be credited to your account as "Advertising Credits (Balance)" and may be used toward the purchase of future advertising campaigns using the Advertising Buying Feature. Advertising Credits may not be used to purchase or pay for other Adopy services. Advertising Credits do not expire. Compliance: Adopy may refuse service or limit, suspend, or terminate your access to the Advertising Buying Feature at any time, with or without cause. You may discontinue your use of the Advertising Buying Feature at any time. The Advertising Buying Feature allows you to create, purchase, and manage ads across supported networks from your Adopy account. By using the Advertising Buying Feature, you also agree to comply with the advertising policies, terms of service, and commercial terms of each corresponding network (e.g., Google, Microsoft, Meta, LinkedIn, TikTok, Spotify). These networks are not affiliates, partners, agents, or representatives of Adopy. You understand and agree that Adopy is an independent third party and has no right, responsibility, or ability to control, direct, or influence any action, inaction, conduct, or decision made by these advertising networks. Suspensions: If your ad account is suspended by external ad platforms, you may be required to provide identity verification documents for refunds.
11. Term
This agreement remains effective as long as you are a registered user of Adopy.
12. Termination
Termination by Either Party: Either party may terminate this agreement with notice. Refunds: Unused credits will be refunded; consumed credits are non-refundable. Subscriptions beyond the 48-hour cancellation window are non-refundable. This applies to the active month and all previous months of the subscription.
13. Disclaimer of Warranties
Adopy is provided "as is" without any warranties. We disclaim all implied warranties to the maximum extent permitted by law. Adopy, our respective officers, directors, shareholders, members, employees, advisors, contractors, licensors, licensees, suppliers, vendors, users and agents (collectively the "Adopy Parties") are not responsible for any content provided by third parties (including clients). The Adopy Parties disclaim any representation or warranty regarding (a) the success of Adopy, (b) the error-free, disruption-free or interruption-free nature of Adopy, (c) the requirements or expectations of the Services, or (d) the products, services, information, leads or other material purchased or obtained by you through the Services will meet your requirements or expectations. The platform is provided "as is," "with all faults" and "as available" without warranty of any kind, and any use by you shall be at your sole risk. All representations and warranties, whether express, implied, statutory or otherwise, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, are hereby disclaimed to the maximum extent permitted by applicable law by Adopy and its licensors.
14. Limitation of Liability
In no event shall the Adopy Parties be liable for any consequential, incidental, indirect, special, punitive, or other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of or relating to these Terms or the use of or inability to use Adopy, even if we have been advised of the possibility of such damages. Our total liability for any claims under these Terms shall not exceed forty-nine euros (€49.00). We are not liable for indirect or consequential damages.

We may update these Terms and will notify you via email. Updated Terms are available for download on our website.
16. Governing Law and Jurisdiction
These Terms are governed by Romanian law. Any disputes will be resolved in the competent courts of Bucharest, Romania.
